Public Issue of Secured Redeemable Non-Convertible Debentures & Unsecured Subordinated Redeemable Non-Convertible Debentures by TCHFL

Mumbai: "Tata Capital Housing Finance Limited" (the “Company” or the “Issuer”), one of India's leading non-deposit taking housing finance companies registered with the "National Housing Bank (NHB)" and a wholly-owned subsidiary of "Tata Capital Limited (TCL)", proposes to open on Tuesday, January 07, 2020, a Public Issue of Secured, Redeemable, Non-Convertible Debentures of Face Value of Rs. 1,000 each (“Secured NCDs”) and Unsecured, Subordinated, Redeemable, Non-Convertible Debentures of Face Value of Rs. 1,000 each (“Unsecured NCDs”). The base issue size of the Tranche 1 Issue is Rs. 500 crore with an option to retain oversubscription up to Rs. 1,500 crore, aggregating up to 2,00,00,000 NCDs and amounting to Rs. 2,000 crore which is within the Shelf (Shelf Prospectus dated December 30, 2019) Limit (“Tranche 1 Issue”). The Tranche I Issue is scheduled to close on Friday, January 17, 2020 with an option of early closure or extension as decided by the Board of Directors of the Company.

The minimum application amount is Rs. 10,000 (Rupees Ten Thousand only) collectively across all Options and in multiples of One (1) NCD after the minimum application amount across all the Options, of face value of Rs. 1000 each after the minimum application. Allotment is on a first-come-first-serve basis (except on the date of oversubscription, if any, when all the investors applying on the said date will get allotment on a proportionate basis).

Issue Structure:

Series I NCDs
– 36 months (Secured), interest would be paid on an annual basis at 8.00% to Category I and Category II investors and on an annual basis at 8.10% to Category III and Category IV investors. Effective yield per annum for Category I and Category II investors is 7.99% and for Category III and Category IV investors is 8.09%.

Series II NCDs – 60 months (Secured), interest would be paid on a monthly basis at 7.92% to Category I and Category II investors and on a monthly basis at 8.01% to Category III and Category IV investors. Effective yield per annum for Category I and Category II investors is 8.21% and for Category III and Category IV investors is 8.30%.

Series III NCDs – 60 months (Secured), interest would be paid on an annual basis at 8.20% to Category I and Category II investors and on an annual basis at 8.30% to Category III and Category IV investors. Effective yield per annum for Category I and Category II investors is 8.19% and for Category III and Category IV investors is 8.29%.

Series IV NCDs – 96 months (Secured), interest would be paid on a monthly basis at 8.01% to Category I and Category II investors and on a monthly basis at 8.1% to Category III and Category IV investors. Effective yield per annum for Category I and Category II investors is 8.30% and for Category III and Category IV investors is 8.40%.

Series V NCDs – 96 months (Secured), interest would be paid on an annual basis at 8.30% to Category I and Category II investors and on an annual basis at 8.40% to Category III and Category IV investors. Effective yield per annum for Category I and Category II investors is 8.29% and for Category III and Category IV investors is 8.39%.

Series VI NCDs – 120 months (Unsecured, Subordinated), interest would be paid on an annual basis at 8.55% to Category I and Category II investors and on an annual basis at 8.70% * to Category III and Category IV investors. Effective yield per annum for Category I and Category II investors is 8.54% and for Category III and Category IV investors is 8.69%.

* Subject to classification in the category as Individuals on every relevant Record Date

Category I Institutional Investors and Category II are Non-Institutional Investors
Category III Investor/High Net-worth Individual Investors("HNIs")
·         Resident Indian Individuals and Hindu Undivided Families through the Karta applying for an amount aggregating to above Rs. 10,00,000 across all options of NCDs in the Tranche II Issue.

Category IV Investor / Retail Individual Investors

·         Resident Indian Individuals and Hindu Undivided Families through the Karta applying for an amount aggregating up to and including Rs. 10,00,000 across all options of NCDs in the Tranche II Issue.

At least 75% of the net proceeds of the Public Issue of NCDs will be used for the purpose of onward lending, financing, and for repayment /prepayment of interest and principal of existing borrowings of the Company. A maximum of up to 25% will be used for general corporate purposes. The NCDs offered through this Tranche II Prospectus are proposed to be listed on the BSE Limited and (“BSE”) and the National Stock Exchange of India Limited (“NSE”). NSE shall be the Designated Stock Exchange.
